Terms of Service

Terms that govern access to Tewatch's websites, APIs, dashboards, channels, documentation, and support services.

Agreement to These Terms

These Terms of Service govern access to and use of Tewatch's websites, dashboards, APIs, SDKs, documentation, messaging, voice, social-channel, e-commerce notification, and OTP services.

By creating an account, using the platform, or using the services on behalf of an organization, you confirm that you can bind that organization to these Terms. If you do not agree, you should not use the services.

Services Covered

Tewatch provides communications-platform services that may include SMS, voice, OTP verification, social messaging, commerce notifications, routing tools, analytics, developer documentation, and related support.

Service availability, destination coverage, throughput, sender registration, message format, and pricing can vary by country, carrier, channel, account status, and applicable regulation.

Account Registration and Security

You agree to provide accurate account, billing, company, and compliance information when requested. We may require additional verification before enabling certain routes, senders, or volumes.

You are responsible for safeguarding passwords, API keys, tokens, webhooks, and authorized-user access. Activity performed through your credentials is treated as your activity unless you promptly notify us of unauthorized use.

Acceptable Use

You may use the services only for lawful communications with valid authorization from recipients. You must not send spam, fraudulent traffic, phishing, malware, harassment, unlawful marketing, deceptive content, illegal content, or traffic that infringes third-party rights.

You may not interfere with platform integrity, bypass rate limits or security controls, reverse engineer the services, or use the services in a way that harms carriers, networks, recipients, partners, or other customers.

Telecommunications and Privacy Compliance

You are responsible for compliance with the rules that apply to your campaigns and recipients, including consent, disclosure, sender registration, message frequency, quiet hours, content restrictions, opt-out processing, and record keeping.

Depending on destination and use case, relevant frameworks may include TCPA, CTIA guidelines, GDPR, PECR, CASL, local anti-spam laws, carrier rules, platform policies, and other telecommunications or data-protection requirements.

Customer Data and Content

You retain ownership of your customer content, recipient data, templates, message bodies, call metadata, logs, and application data. You grant us the limited rights needed to route, process, secure, troubleshoot, bill, and support the services.

You are responsible for ensuring you have the rights and permissions needed to submit, store, transmit, or process customer data through the platform.

Fees, Taxes, and Payment

Fees may be charged by usage, committed volume, destination, channel, feature, support level, or another commercial arrangement agreed with you. Carrier surcharges, taxes, and third-party fees may apply.

Unless a separate agreement states otherwise, invoices are due when issued. Late, failed, or disputed payments may result in service limits, suspension, or termination after reasonable notice where practical.

Service Changes and Availability

We work to provide reliable services, but network conditions, carrier changes, third-party platforms, force majeure events, maintenance, or regulatory requirements may affect delivery, latency, sender approval, or route availability.

We may modify, suspend, or discontinue features when needed for security, compliance, platform integrity, partner requirements, or product improvement.

Intellectual Property and Feedback

Tewatch and its licensors own the platform, software, APIs, documentation, branding, designs, and service technology. These Terms do not transfer our intellectual-property rights to you.

If you provide ideas, requests, or feedback, we may use them to improve the services without restriction or obligation, while respecting confidential information under applicable agreements.

Confidentiality

Each party may receive non-public business, technical, pricing, security, or product information from the other. Each party agrees to protect that information with reasonable care and use it only for the business relationship.

Suspension and Termination

You may stop using the services at any time. We may suspend or terminate access if you breach these Terms, create security or compliance risk, submit harmful traffic, fail to pay undisputed fees, or if required by law, carriers, or platform partners.

After termination, you remain responsible for unpaid fees and obligations that by their nature should continue, including confidentiality, payment, liability limits, and compliance responsibilities.

Disclaimers and Liability Limits

The services are provided on an as-available basis except where a separate written agreement provides a specific service level. We do not guarantee that every message, call, or notification will be delivered, accepted, or received by every destination.

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages. Our aggregate liability for claims relating to the services is limited to the fees paid by you for the affected services during the six months before the event giving rise to the claim, unless applicable law requires otherwise.

Indemnity

You agree to defend and indemnify us against claims arising from your content, campaigns, recipient lists, consent practices, use of the services, breach of these Terms, or violation of law or third-party rights.

Governing Law

Unless a separate written agreement states otherwise, these Terms are governed by the laws of Hong Kong Special Administrative Region, without regard to conflict-of-law rules. Courts or dispute-resolution bodies in Hong Kong will have jurisdiction where permitted by law.

Updates and Contact

We may update these Terms from time to time. Material changes will be posted on this page or communicated through reasonable channels. Continued use after an update means you accept the updated Terms.
